Role

Reporting to the corporate controller, we are looking for an experienced and effective Contracts Manager or Contracts Specialist. The primary responsibility of this role is to provide review and legal editing of customer and vendor contracts. This is a highly visible position, and the right candidate must have excellent communication and interpersonal skills, be able multi-task and prioritize in a fast-paced environment, and work well with all levels within the organization. Prior contracts experience is required.

Job Responsibilities

  • Support the negotiation and closure of commercial contracts that are “win-win” for both parties.

  • Review, revise and manage a wide variety of agreements, including SaaS MSAs, NDAs, data processing/service provider agreements, third-party referral/reseller contracts, and softwarlicensing agreements.

  • Work with internal teams and outside legal counsel to draft contract templates for Company’ Subscription Products business of SaaS software and services.

  • Work with customers and vendors to draft adjustments to templates when necessary.

  • Review and update the online terms of use and template agreements.

  • Manage contracts library.

  • Help identify and implement a contract lifecycle management software package.

Desired Skills and Qualifications

  • Bachelors degree in business administration, law or related field required.
  • Minimum of 5-7 years of experience in customer-vendor contracts in a technology business, with at least 3 years of experience in a SaaS business.
  • Strong understanding of contract law and its application in a technology business environment.
  • Work experience in information technology companies highly desirable.
  • Familiarity with the SaaS business model and metrics as well as a services business model.
  • Interest and ability to understand the business environment and the Company’s growth opportunities. Experience in or familiarity with security/data privacy a plus.
  • Excellent analytical, troubleshooting, and organizational skills; demonstrates close attention to details. Self-directed and takes initiative; ability to work well under pressure, multitask and work autonomously in a fast-moving environment.
  • Strong interpersonal, written and oral communication skills; ability to effectively communicate with all levels.
  • High level of integrity and flexibility; ability to work well independently as well as effectively within a team; positive attitude.
  • Experience or familiarity with using contract lifecycle management software. Strong MS Office skills, including working with Outlook, Word, Excel, PPT Ability to learn new software and operating systems.
  • Occasional travel to company US headquarters in Silicon Valley, California.

Compensation
The expected annual base salary range for this role is $85000 - $125,000.

(Compensation varies based on a variety of factors which include (but aren’t limited to) such as role level, skills and competencies, qualifications, knowledge, geography, and experience. In addition to base pay, certain roles are eligible to participate in our bonus or commission plans, as well as our benefits offerings, and equity awards.)

Location:
US, preferably Dallas, TX or Mountain/Central time zones
Monday – Friday, full-time, regular.
Hybrid Virtual work schedule possible.
